Al Hudec Presents on Special Committees: Dealing with Difficult Situations
Al Hudec spoke on difficult situations faced by Special Committees at the 2011 Mergers & Acquisitions Conference, held by the Continuing Legal Education Society of British Columbia in Vancouver on June 16, 2011.
Al focused on the proper role of Special Committees in four types of difficult situations: (i) transaction with or support by a major shareholder; (ii) hostile takeovers; (iii) situations where advisors are conflicted; and (iv) management buyouts. His presentation reviewed and analyzed recent Canadian and Unites States case law dealing with these difficult situations.
