Al Hudec and Teresa Tomchak present at Corporate Governance 2013 CLE

Farris partners Al Hudec and Teresa Tomchak presented at the Continuing Legal Education Society’s “Corporate Governance 2013” course on November 22, 2013. Mr. Hudec spoke on shareholder activism addressing the tools and tactics used currently by activist investors and recent and proposed changes to the regulatory regime in Canada governing their activities.  His talk included such issues as the proposed new early warning requirements, advance notice polices as a protection against stealth proxy contests and the use of meeting requisitions by activist investors. Ms. Tomchak addressed the issue of anti-corruption and foreign corrupt practices including the recent amendments to Canada’s legislation and the elimination of facilitation payments, the imposition of a new record keeping requirement and recommendations for corporations to ensure compliance with domestic and international legislation.
