April 28, 2015 – A Farris team represented American Hotel Income Properties REIT LP (“AHIP”) in its bought deal offering of limited partnership units (“Units”) which raised gross proceeds of approximately $66.1 million through the issuance of 6,181,250 Units, which included 806,250 Units issued as a result of the underwriters electing to exercise the over-allotment option in full.

FARRIS PARTNERS MACKAY-DUNN AND NAWATA CLOSE INTREXON-OKANAGAN SPECIALTY FRUITS ACQUISITION

Intrexon Corporation (“Intrexon”) completed its acquisition of Okanagan Specialty Fruits Inc. (“OSF”) by way of statutory plan of arrangement pursuant to which a wholly-owned subsidiary of Intrexon acquired all the securities of OSF for US$41 million. OSF shareholders received US$31 million in Intrexon common stock and US$10 million in upfront cash, subject to certain escrow hold-back.

Supreme Court strikes down municipal council prayer - Tim Dickson appeared for intervenor

The Supreme Court of Canada has ruled that the prayer with which a Quebec municipality opened its council meetings violated the municipality’s duty of neutrality on religious matters. In a far-reaching decision, the Court held that government officials may not use their powers to promote or impose religious beliefs, but rather must be truly neutral on questions relating to religion.
